Welcome to POAHelp.com LLC (“POAHelp.com,” “us,” “we,” and “our”). These Terms and Conditions ("Terms") govern your access to and use of the POAHelp.com website and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, purchasing products, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Description of Service

POAHelp.com provides informational resources and guidance ("Scoops") to help individuals navigate the process of using their power of attorney documents with various institutions, including but not limited to banks, utilities, healthcare facilities, government and other organizations. Our Service is intended to be a tool to augment and support human decision-making, not replace it. The Service may also includes access to an online community and  automated reminder features. 

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration

  • Maintain and promptly update your account information

  • Keep your password secure and confidential

  • Notify us immediately of any unauthorized use of your account

  • Accept responsibility for all activities that occur under your account

5. Purchases and Pricing

5.1 Products Available

We may offer the following purchasing options:

  • Individual Scoops: One-time purchase of guidance for a single institution

  • Bulk Scoop Packages: Discounted bundles of multiple Scoops

  • Annual Subscription: Recurring annual access to the Service with unlimited Scoops and community features

5.2 Payment

All purchases are processed through our third-party payment processors. You agree to pay all fees and charges associated with your purchases. Prices are subject to change, but changes will not affect purchases already made.

5.3 Recurring Subscriptions

If you purchase an annual subscription:

  • Your subscription will automatically renew at the end of each annual period unless canceled

  • You will be charged the then-current subscription rate

  • You may cancel your subscription at any time through your account settings

  • Cancellation will take effect at the end of your current billing period

  • We reserve the right to change our subscription plan fees at any time. We will provide you with reasonable notice of any price changes, which will take effect at the start of the next billing cycle following the notice.

5.4 Refund Policy

  • Scoops: Due to the immediate access to digital content, individual Scoop purchases are non-refundable. 

  • Subscriptions: Subscription fees are non-refundable, but you may cancel at any time to prevent autorenewal and future charges. You will have access to the Services for the remainder of the term for which you have paid.

  • IF THERE IS AN INTERRUPTION OR DISRUPTION IN ANY OF THE SERVICES FOR ANY REASON, EVEN IF WE HAVE BEEN MADE AWARE OF AN ISSUE IN ADVANCE, WE WILL NOT BE REQUIRED TO ISSUE A REFUND FOR ANY FEES.

6. Intellectual Property

All content on the Service, including Scoops, guides, text, graphics, logos, and software, is the property of POAHelp.com or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the content solely for your personal, non-commercial use.

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service

  • Reverse engineer or attempt to extract source code or underlying algorithms of the Services or any AI components

  • Create derivative works based on the Service

  • Share your account credentials or purchased content with others

  • Use any robot, spider, scraper, or other automated means to access the Website or Services for any purpose without our express written permission.

  • Engage in any form of rooting, jailbreaking, or similar techniques on devices used to access the Services

  • Use the Services to train or develop any AI models or services, including competing models and services

7. User-Generated Content

7.1 Community Participation

If you participate in our online community, you may post comments, questions, and other content ("User Content"). You retain ownership of your User Content but grant POAHelp.com a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating the Service and analyzing the use of the Service.

7.2 Content Standards

You agree not to post User Content that:

  • Is illegal, harmful, threatening, abusive, or harassing

  • Infringes on intellectual property rights

  • Contains personal health information, sensitive financial information, or confidential information about others

  • Contains spam, advertising, or promotional material

  • Impersonates any person or entity

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

8. Disclaimer of Professional Advice

IMPORTANT: The information provided through the Service is for educational and informational purposes only and does not constitute legal, financial, medical, or professional advice. POAHelp.com does not provide legal services and is not a substitute for consultation with a qualified attorney or other professional advisor.

The Scoops and other content are based on general experiences and publicly available information. Each situation is unique, and requirements may vary by institution, jurisdiction, and individual circumstances. You should:

  • Verify all information with the relevant institutions

  • Ensure your power of attorney documents are properly executed and valid in your jurisdiction

We do not guarantee the accuracy, completeness, or utility of our outputs.

9. No Guarantees, No Warranties

While we strive to provide accurate and helpful information, POAHelp.com makes no guarantees that:

  • Following our guidance will result in successful use of your power of attorney

  • The information is complete, current, or applicable to your specific situation

  • Institutions will accept your power of attorney documents

  • Expiration reminders will be delivered without error or delay

THE WEBSITE AND THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POAHELP.COM AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless POAHelp.com, owners, officers, directors, employees, and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any rights of another party

  • Your User Content

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and use practices.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease

  • You will lose access to purchased Scoops and subscription benefits

  • Provisions that by their nature should survive termination will remain in effect

You may terminate your account at any time through your account settings or by contacting us.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of New Mexico, without regard to its conflict of law provisions.


All disputes, controversies, or claims arising out of or related to these Terms, the relationship between you and POAHelp.com, or the arbitration provisions contained herein, including the enforceability and validity thereof, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, shall be finally settled through binding arbitration administered by American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration shall take place in Bernalillo County, New Mexico and shall be conducted in English by a single arbitrator who has experience in software-as-a-service terms of service. The arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate. The arbitrator’s decision will follow the terms of these Terms and will be final and binding. The arbitrator will have authority to award temporary, interim or permanent injunctive relief or relief providing for specific performance of these Terms, but only to the extent necessary to provide relief warranted by the individual claim before the arbitrator. The arbitrator will have no authority to certify a class, award class-wide relief, or award relief on behalf of anyone other than the parties to this Agreement. Each party shall bear its own costs, fees, and expenses of arbitration.

WHERE PERMITTED UNDER APPLICABLE LAW, YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS WE BOTH AGREE, NO JUDGE OR ARBITRATOR MAY CONSOLIDATE MORE THAN ONE PERSON’S OR ENTITY’S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and POAHelp.com regarding the Service.

17.2 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver. If any provision is found to be invalid or unenforceable, the remaining provisions will remain in effect.

17.3 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

18. Acknowledgment and Electronic Acceptance

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.

You consent to the use of an online check box to evidence your agreement to these Terms and agree that checking the box during the sign-up process can be used as evidence of your agreement to these Terms.
